By accessing or using our healthcare communication platform and API integrations, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.
Description of Services
ICS Care Tech provides software solutions that enable healthcare clinics to communicate with patients via WhatsApp chatbots. This includes automated appointment booking, prescription refill flows, and report delivery systems.
Eligibility
Our services are strictly intended for licensed healthcare providers and institutions. By subscribing to our platform, you represent that you hold all necessary licenses and authorities to practice medicine and handle patient records.
Reliance on WhatsApp/Meta
Our service relies heavily on the WhatsApp Business API provided by Meta Platforms, Inc. We are not responsible for downtimes, policy changes, or connectivity issues caused by Meta's infrastructure.
Clinic Client Responsibilities
You are solely responsible for obtaining explicit patient consent (opt-in) before initiating communication via WhatsApp, ensuring the medical accuracy of any automated triage content, and maintaining patient confidentiality.
Data Protection Roles
Under the Digital Personal Data Protection Act, 2023 and other applicable privacy frameworks, the clinic acts as the Data Fiduciary, and ICS Care Tech acts as the Data Processor. Our processing of patient data is strictly governed by our mutual Data Processing Agreement.
Fees and Payment
Access to our platform is billed on a subscription and usage basis (e.g., per message fees). All fees are non-refundable unless expressly stated otherwise in your specific service order.
Intellectual Property
The ICS Care Tech platform, algorithms, software, and dashboards remain our exclusive property. We grant you a limited, non-transferable, revocable license to use our platform during your active subscription term.
Disclaimers
OUR SERVICES ARE NOT A REPLACEMENT FOR EMERGENCY MEDICAL SERVICES. The platform is provided "AS IS." We disclaim all warranties, including merchantability or fitness for a particular purpose, to the maximum extent permitted by law.
Limitation of Liability
ICS Care Tech shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use our services, including missed medical appointments or delayed diagnoses.
Indemnification
You agree to indemnify and hold harmless ICS Care Tech and its officers from any claims, damages, or legal fees arising from your breach of these Terms, medical malpractice claims, or failure to obtain patient consent.
Termination
We may suspend or terminate your access immediately if you breach these Terms or Meta's commerce policies. You may terminate your account with a 30-day written notice.
Force Majeure
Neither party shall be liable for delays or failure in performance resulting from acts beyond their reasonable control, including natural disasters, internet outages, or governmental actions.
Modifications
We reserve the right to modify these Terms at any time. We will notify active clients of substantial changes. Continued use of the platform constitutes acceptance of the new Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws applicable in our primary operating jurisdiction. Any disputes shall be resolved exclusively in the designated courts specified in your service contract.

Miscellaneous
If any provision of these Terms is deemed invalid, the remaining provisions will continue in full force and effect. These Terms represent the entire agreement between the parties regarding the use of our services.
